Trademark Assignment Agreement

This Trademark Assignment Agreement ("Agreement") is made and entered into as of the ___ day of ________, 20, by and between:

WHEREAS, Assignor is the owner of all rights, title, and interest in and to the following trademark registered with the United States Patent and Trademark Office:

AGREEMENT

1. ASSIGNMENT

1.1 Transfer of Rights. Assignor hereby irrevocably assigns, transfers, and conveys to Assignee all rights, title, and interest in and to the Trademark, including any common law rights, together with the goodwill of the business symbolized by the Trademark, and all rights and causes of action for past, present, and future infringement or dilution of the Trademark.

1.2 Documentation. Assignor agrees to execute and deliver any documents and to perform any acts reasonably necessary to effectuate the assignment of the Trademark to Assignee, including the execution of documents required for recordation with the United States Patent and Trademark Office and any other applicable authorities.

2. CONSIDERATION

2.1 Purchase Price. In consideration for the assignment of the Trademark, Assignee agrees to pay Assignor a purchase price of __________ Dollars ($__________), payable in accordance with the terms set forth in Section 2.2.
